Terms and Conditions and Service Agreement - HOSTCENTER - Website Hosting<\/h1>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

Terms and conditions and service contract for services provided by Shop Center Internet Solutions Ltd. (Host Center).<\/u><\/strong><\/p>

Settings<\/u> :<\/p>

Company: Shop Center Internet Solutions Ltd. (Host Center) Programs and\/or services: Various services provided by Shop Center Internet Solutions Ltd. (Host Center). Customer: The end user of Shop Center Internet Solutions Ltd. (Host Center) services. Service recipient: The end user of Shop Center Internet Solutions Ltd. (Host Center) services.<\/p>

Main services:<\/span><\/p>

  1. A storage space rental service for digital information and\/or files of various types for the private and exclusive use of the customer, and at his discretion and sole responsibility, what to store and how to store it, on the servers of Shop Center Internet Solutions Ltd.     Domain registration and general hosting through Host Center\/Shop Center:<\/u><\/p>

    • The prices on the site do not include VAT.<\/li><\/ul>

      1. The domain owner (registrant contact) is the customer who requests to register the domain.<\/p>

      2. When registering a domain through Shop Center, the customer agrees that the domain will be managed by Shop Center.<\/p>

      3. Any need for a change or domain redirection will be forwarded by email to customer support and will be carried out by the department.<\/p>

      4. A domain name cannot be changed once it has been registered under any circumstances.<\/p>

      5. Renewal of the domain registration is the sole responsibility of the domain customer. Host Center \/ Shop Center Internet Solutions Ltd. will not be responsible for a domain that is not renewed on time.
      * The cost of registering a new domain will usually be cheaper than the cost of renewing a domain.<\/strong><\/p>

      Responsibility for domain renewal lies with the domain owner<\/strong> :<\/strong> Shop Center Internet Solutions Ltd. provides a domain renewal service, but it is the sole responsibility of the domain owner to ensure that the renewal was carried out properly and for the required period, on the Israeli Internet Association website or on any of the official domain registration websites in Israel.       Shop Center Internet Solutions Ltd. will not be responsible for non-renewal of a domain or non-renewal for the period paid for, nor will Shop Center Internet Solutions be responsible for any damage of any kind caused by non-renewal of any domain, and will not bear any financial expense or financial damage of any kind due to non-renewal of an Israeli or international domain.<\/p>

      6. If a customer wishes to cancel an order or renew a service – inquiries regarding cancellation will be accepted up to 14 days from the moment the order is placed and\/or the service is renewed.
      For the avoidance of doubt, it is hereby clarified that no payment of any kind paid for domain name registration will be refunded. Also, if the recipient of the service receives any benefit and\/or discount, the cost of the benefit and\/or discount will be deducted in full from the refund amount for the purchased plan. If the recipient of the service is not entitled to a refund for the plan, the warehouses will be entitled to charge the recipient of the service the full amount of the discount and\/or benefit. <\/strong><\/p>

The storage providers reserve the right to charge an additional amount of money, as required, in cases where it is found that increased use has been made of traffic volume, disk or other server resources, as well as with regard to installations outside the scope of the service, programming work and any dealings beyond the storage service, all as may be defined from time to time by the storage providers.<\/p>

      • For the avoidance of doubt, if any benefit was received as part of joining and paying for a service period in advance (payment one year in advance, two years, five years in advance, etc.), in the event that the service is canceled by the customer before the end of the period, Shop Center Internet Solutions Ltd. will be entitled to charge a fee for the working hours\/setup fees\/benefits provided free of charge, etc. at the time of joining.<\/li>

      • Domain renewal for one year: 150 NIS + VAT per year Or as determined by Shop Center Internet Solutions Ltd. \/ Host Center at its sole discretion.<\/li>
      • SSL Certificate: 250 NIS + VAT per year<\/li>
      • IP address 140 NIS + VAT per year<\/li>
      • Installation of systems and add-ons \u2013 based on working hours.<\/li>
      • Elementor Pro plugin for WordPress \u2013 130 NIS + VAT<\/li>
      • Cancellation before the end of a prepaid subscription period \u2013 the calculation of a month of storage will be as follows \u2013 150 NIS + VAT<\/li>
      • Cancellation fee for a package paid in advance for a year or more \u2013 250 NIS + VAT<\/li>
      • Shop Center Internet Solutions Ltd. (Host Center) reserves the right to terminate a benefit and\/or license provided free of charge as part of a gift and\/or promotion of any kind given when purchasing the service, at any time and without prior notice.<\/li><\/ul>

        9. If the service recipient is given a promotional benefit of registering a free Israeli or international domain name, then this domain name will be limited to use in the hosting plans of the hosts only. For the avoidance of doubt, it is clarified that the hosts will not allow a free domain name to be received by a service recipient who chooses to point it to a server other than one of the hosts’ servers. 10. At the end of the validity period of a purchased domain name registration, the recipient of the service may choose to renew the validity of the domain name and direct it to any other server of his choice, provided that he has paid the renewal cost according to the price list in force at Hostcenter at that time. It is possible that in any case, despite the prices on the site for registering a new domain, the cost of renewing a domain will be different from the cost of purchasing a new domain. <\/p>

        * Withdrawing a domain for independent management involves a fee identical to the annual domain cost as shown on the website.<\/strong><\/p>

        E. The customer will do everything in his power not to involve Shop Center\/Host Center.         F. As part of hosting services, Shop Center \/ Host Center is not responsible for the integrity or availability of the site. It is also not responsible for the integrity of the site code. If the code on the customer’s site is not correct, the responsibility for correcting it and checking its integrity on an ongoing basis is the sole responsibility of the site owner or the owner of the system stored on Host Center \/ Shop Center’s servers. <\/p>

        For the avoidance of doubt, it is the responsibility of the owner of the site or system stored on Host Center \/ Shop Center servers to periodically sample and check the integrity of the site and\/or system, including the programming code and their availability on the network, and to address code faults on their side.<\/p>

        13. Exchange mailboxes (Microsoft365)<\/p>

        • Customers who subscribe to Microsoft’s Office 365 email service will not be able to access Tentet or the mailbox manager.<\/li>
        • Management of the boxes will be done through the support of Shop Center Internet Solutions Ltd.<\/li>
        • If a customer wants to transfer the boxes to an independent\/self-managed Tenet, they must contact a technical person who knows how to do this.<\/li>
        • The transition to self-management will be at the expense of the customer\/owner of the aforementioned email boxes.<\/li>
        • InShop Center Internet Solutions Ltd. is not responsible for any malfunction, problem, costs and\/or damages related to the transition process that the customer performs.<\/li>

        • In the event of loss of information, files, email messages, calendars and any loss of information related to email boxes and\/or information and\/or files of any type, the customer will not have any claim or demand of any kind, including a financial demand and\/or compensation of any kind.<\/span> For the avoidance of doubt,<\/span> Shop Center Internet Solutions Ltd. will not be responsible in any way or manner for the loss of any customer data or information, including emails, files, electronic information of any kind, calendars, etc., as noted above.<\/span><\/p><\/li><\/ul>

          14. Backups:<\/strong><\/p>

          A backup is indeed being performed, but the customer should not rely solely on it. The customer must independently back up both the database and their website files. In the event of loss of material, Host Center will do its best to help and restore the material using the backup available to it at that time, However, Host Center will not be responsible for any loss of material for which the restoration was unsuccessful. If the restore is unsuccessful, the customer will not be charged any fee. <\/strong><\/p>

          A customer who has performed an independent backup on the server must download the backup to their personal computer within 14 days and no later than that, otherwise the backup will be deleted by Shop Center Internet Solutions Ltd., as part of ongoing server maintenance.<\/b><\/span><\/p>

          17. Some servers block large IP ranges worldwide to protect our customers from hacking. It is possible to remove the blocks, both at the IP and country level, using the customer’s .htaccess file. It is the customer’s responsibility to contact us for opening to additional countries or to perform the opening independently if possible. The customer can enable independent access on the Linux server using an htaccess file or contact us so that we can open it for the desired countries. After the customer requests to open the site for access from additional countries, accessibility will be the customer’s responsibility.<\/p>

          18. If a signed order form approved by the customer is not sent, Host Center \/ Shop Center is not obligated to provide the ordered service, including domain registration and\/or hosting and\/or any other service.<\/p>

          19. Renewal of hosting services, with the exception of domain renewal, for an additional period, is done automatically if there is a payment method saved in the system. In certain cases, Host Center \/ Shop Center will contact the customer to verify the renewal and\/or payment details, at Host Center \/ Shop Center’s discretion. For the avoidance of doubt, responsibility for renewing the storage service is the sole responsibility of the storage account holder, and an update regarding disconnection from the service will be made by the customer at least 30 days before the service expires.<\/p>

          20. After approval of the renewal of the service for an additional period, it will not be possible to cancel the service or the renewal.<\/p>

          21. When creating a hosting account, a temporary parking page will automatically be uploaded stating that the site is under construction. The parking page on certain servers may contain advertising that can be removed independently or by contacting Host Center with an explicit request to remove this page. If the hosting account owner (customer) has not removed the page independently and has not contacted Host Center to remove it, no complaint will be received on this matter from the hosting account owner. <\/p>

          22. Privacy Protection:<\/p>

          A. Responsibility for protecting privacy and securing access to the customer’s database and\/or databases stored on Host Center servers is the sole responsibility of the owner of the database and\/or website. <\/p>

          B. For the avoidance of doubt, Shop Center Internet Solutions Ltd. (Host Center) will not have any liability of any kind regarding the quality of security of the Customer’s website database or the Customer’s system that the Customer stores on Shop Center Internet Solutions Ltd. (Host Center) servers. <\/p>

          C. Therefore, and accordingly, it is the customer’s responsibility to perform thorough penetration tests and security checks on the databases that it stores on the servers of Shop Center Internet Solutions Ltd. (Host Center). <\/p>

          D. In Shop Center Internet Solutions Ltd. is not responsible for any malfunction, problem, costs and\/or damages related to the leakage of information from the website owner’s\/customer’s database, which is his sole responsibility. <\/p>

          E. In the event of loss of information, and\/or leakage of information, and\/or files, and\/or email messages, and\/or calendars, and any loss or leakage of information related to the databases and\/or email boxes and\/or information and\/or files of any type, the customer will not have any claim or demand of any kind, including a financial demand and\/or compensation of any kind from Shop Center Internet Solutions Ltd. (Host Center).
          <\/span>F. For the avoidance of doubt, <\/span> Shop Center Internet Solutions Ltd. (Host Center), compensate it and exempt it from all liabilities arising from the leakage of information on the databases and\/or files owned by it and any digital information of any kind, including those stored or preserved or distributed through the servers of Shop Center Internet Solutions Ltd. (Host Center).
          I. Any digital information of any kind that has been leaked and\/or hacked and\/or exposed by the customer \/ website owner \/ database \/ or any type of digital files and information, in violation or alleged violation of the exclusive rights of a third party, including violation of privacy rights, including any implied violation, through the servers of Shop Center Internet Solutions Ltd. (Host Center) are the responsibility of the owner of the website, the database, and any digital information, and it is his sole responsibility to check for intrusions, implement security, and adapt his systems to privacy protection requirements at any required level. <\/p>

          23. Disclosure: Shop Center Internet Solutions Ltd. (Host Center) – uses server infrastructures of OMC Computers and Communications Ltd., which has strict standards of the Standards Institute of Israel and ISO, etc., the above certificates can be provided to Shop Center Internet Solutions Ltd.           24. Affiliate Program:<\/p>

          • The affiliate commission will not be given for choosing a monthly payment route.<\/h6><\/li>
          • VPS packages: 150 NIS fee from the VPS Business package and above.<\/h6><\/li>
          • The remuneration includes VAT.<\/h6><\/li>
          • The terms of compensation\/commissions may change from time to time at the sole discretion of Shop Center Internet Solutions Ltd. and without prior notice to partners.<\/h6><\/li>
          • If a commission accumulated in the affiliate program is not used beyond 12 months from the moment it is accumulated in the account, the commission will be deleted.
            – For the avoidance of doubt, commissions may not be accumulated, nor may they be exercised and\/or claimed for more than 12 months.<\/h6><\/li>
          • Shop Center Internet Solutions Ltd. has the option to terminate the affiliate program at any given moment and at its sole discretion and without prior notice.<\/h6><\/li>
          • Shop Center Internet Solutions Ltd. may cancel a partner’s account at any given moment without prior notice, at its sole discretion.<\/h6><\/li>

              26. Information Security, Cyber \u200b\u200band Limitation of Liability – VPS Servers<\/p>

Customer responsibility for VPS server security The full, exclusive and comprehensive responsibility for securing the VPS server, including but not limited to: the operating system, network services, firewalls, access permissions, software, websites, databases, files, content and information stored on the server \u2013 applies only to the customer \/ service requester. The customer declares and confirms that he is aware that the VPS server is for his exclusive use, and that its management, hardening, updating and security are his sole responsibility.<\/p>

              2.26. Assistance from professionals on behalf of the client The customer undertakes to check, manage and maintain the security level of the VPS server through a system administrator, information security expert, cyber consultant or any other qualified professional on his behalf, at his discretion and responsibility, including handling security breaches, system updates, security settings, monitoring and ongoing protection.<\/p>

              3.26. Lack of responsibility for cyber incidents and data leaks Host Center (Shop Center Internet Solutions Ltd.) will not bear any liability, direct or indirect, for damage of any kind, including but not limited to: server intrusion, hacking, cyber attack, malicious code, ransomware, information leakage, information theft, data loss, service disruption, privacy violation, reputational, financial or regulatory damage – whether caused by malicious action, negligence, omission, known or unknown security breach, or whether committed by a third party, authorized or unauthorized user.<\/p>

              4.26. Regulatory Responsibility \u2013 Privacy Protection Law and GDPR To the extent that the customer stores, processes or uses personal data as defined in the Privacy Protection Law, 5741-1981, the regulations under it, and\/or the GDPR regulations or any other law applicable to it – full responsibility for complying with the requirements of the law, including information security, maintaining privacy, registering databases, reporting security events and managing permissions – applies solely to the customer. It is clarified that Host Center does not serve as a Data Controller or Data Processor with respect to the information stored on the VPS server, but rather as an Infrastructure Provider only.<\/p>

              5.26. Backups and data recovery To the extent that backup services are provided or any backups exist, these are provided as an ancillary service only. In the event of a malfunction or security incident, Host Center will make a reasonable effort to assist the customer, including attempting to recover information from backups, to the extent that these exist and to the extent that this is technically possible.
              It is agreed and declared that there is no guarantee for the availability of backup, its completeness, its timeliness or the success of recovering the information, and the customer waives in advance any claim or demand in this regard.<\/p>

              6.26. Paid security services If the customer is interested in performing security operations for the VPS server, including hardening, security settings, monitoring, installation of defense systems or additional cyber services, they can contact Host Center to receive a separate quote. The performance of these services is conditional on prior agreement, payment, and Host Center’s ability and availability to provide them, and their performance does not create an overall warranty or commitment to a specific level of security.<\/p>

              7.26. Waiver of Claims and Indemnity The customer irrevocably waives in advance any claim, demand or claim against Host Center (Shop Center Internet Solutions Ltd.), its employees, representatives and suppliers, in connection with security events, information leaks or cyber damage of any kind. The customer undertakes to indemnify Host Center for any damage, claim, fine, demand or expense incurred by it due to the customer’s use of the VPS server in violation of the law or as a result of a security incident originating from the server.<\/p>

              8.26. Force majeure, advanced cyber, and unknown vulnerabilities Host Center will not be liable for any damage or loss resulting from force majeure events, including but not limited to: advanced cyber attacks (APT), zero-day security vulnerabilities, large-scale coordinated attacks, failures in Internet infrastructure, electricity, communications, cloud providers, or any event beyond Host Center’s reasonable control. The customer confirms that he is aware that these events cannot be completely prevented even with advanced security measures.<\/p>

              9.26. Absolute financial liability limitation (Cap Liability) It is agreed and declared that in any case, Host Center’s total and cumulative liability, if and to the extent determined, will be limited to an amount not exceeding the cost of one month of service of the VPS server in dispute, as actually paid by the customer. Host Center will not be liable for indirect, consequential, special, punitive or incidental damages, including loss of profits, revenue, goodwill, regulatory fines or third-party claims.<\/p>

              10.26. Class Action Waiver The customer agrees that any dispute or claim against Host Center will be filed, if any, by the customer alone and in his personal name. The Customer expressly and irrevocably waives in advance any right to initiate, join or participate in a class action, group action or any similar legal proceeding in connection with the Services.<\/p>

              27. Use of premium plugins and third-party licenses As part of the hosting services and\/or WordPress services provided by Host Center, the customer may be given the use of third-party premium plugins, including (but not limited to) Elementor Pro, as part of an overall service and in accordance with Host Center’s sole discretion. It is hereby clarified that the Customer is not granted an independent, personal or proprietary license for the aforementioned premium extensions, and that their use is carried out within the framework of licenses owned by Host Center, including the Enterprise \/ Agency license, and in accordance with the limitations, conditions and scope of use defined in this license. The use of the extensions is subject to the terms of use, licensing policy and manufacturer’s instructions, as these are updated from time to time, and the Customer declares that he will not have any claim, demand or right against Host Center for any change, termination, restriction or adjustment of the use of the extensions, including in the event of termination of the agreement between the parties or a change in the licensing terms of a third party.
              Host Center reserves the right to activate, suspend or discontinue the use of these premium plugins at any time, in accordance with licensing terms, regulatory changes, manufacturer requirements or termination of service, without this constituting a breach of obligation to the customer.<\/p>

              28. Using Elementor Pro Without derogating from the above, it is hereby clarified that the use of the Elementor Pro plugin offered to the customer, to the extent offered, is permitted solely within the framework of Host Center’s WordPress services and in accordance with the Enterprise \/ Agency license owned exclusively by Host Center. It is clarified and agreed that no Elementor Pro license is transferred to the customer, and that the customer is not granted any proprietary, licensing or independent right in the plugin. Use of the plugin is permitted only as long as the website is stored and managed within the framework of Host Center services, and subject to the terms of use, licensing policy and restrictions of Elementor Ltd., as updated from time to time.
              The Customer is aware and agrees that Host Center may, at its sole discretion, activate, restrict, suspend or terminate the use of Elementor Pro, including due to a change in the Elementor licensing terms, exceeding the site quota, termination of the contract with the Customer, or any demand from the Licensee, all without this being considered a breach of obligation or entitling the Customer to any compensation. Upon termination of the use of Elementor Pro, for any reason, the Website will continue to operate in its current state, however, advanced features, updates and Pro capabilities may no longer be available. <\/p>

              29. Security responsibility for servers, operating systems and storage services:<\/strong><\/p>

              The Customer declares and confirms that the Company’s services are provided as computing infrastructure, storage, servers, virtual servers (VPS), dedicated servers, cloud services, shared storage, email services and related services only.<\/p>

              The full and sole responsibility for the security of any system, software, service, application, website, database, user account, file or information stored or operated within the Services shall apply solely to the Customer.<\/p>

              The aforementioned will apply, among other things, to:<\/p>

              • Operating systems of any type, including Linux, AlmaLinux, Ubuntu, Debian, Rocky Linux, CentOS, Windows Server and any other system;<\/li>
              • Web servers of any type;<\/li>
              • Databases;<\/li>
              • Mail servers;<\/li>
              • Management boards;<\/li>
              • cPanel, Plesk, DirectAdmin, WHMCS;<\/li>
              • WordPress, Joomla, Magento, Drupal<\/li>
              • Plugins, extensions, and templates;<\/li>
              • Third-party software<\/li>
              • Applications developed by or for the customer<\/li>
              • APIs<\/li>
              • Cloud services<\/li>
              • Containers<\/li>
              • Docker<\/li>
              • Kubernetes<\/li><\/ul>

                and any other software or hardware component.<\/p>

                29.B. No liability for security breaches and breaches <\/strong><\/p>

                The Company does not warrant and is not responsible for the Services being immune from:<\/p>

                • breakthrough<\/li>
                • Unauthorized intrusion<\/li>
                • Cyber \u200b\u200battacks<\/li>
                • Ransomware attacks<\/li>
                • Information theft<\/li>
                • Deleting information<\/li>
                • Corruption of information;<\/li>
                • DDoS attacks<\/li>
                • Exploiting Zero-Day Vulnerabilities<\/li>
                • Known or unknown security vulnerabilities<\/li>
                • Configuration errors<\/li>
                • Password theft<\/li>
                • Phishing<\/li>
                • Incorrect permissions<\/li>
                • or any other information security incident.<\/li><\/ul>

                  29.C. Lack of responsibility even in a managed service <\/strong><\/p>

                  Even in cases where the company provides management, support, installation, technical assistance, updates, security hardening, monitoring or troubleshooting services, this will not be considered a commitment to system security or a responsibility to prevent information security incidents.<\/p>

                  These services are performed on a Best Effort basis only, and the Company does not undertake to prevent hacks, intrusions, information leaks or any other damage resulting from information security events.<\/p>

                  29.D. Responsibility for backups and data recovery <\/strong><\/p>

                  Although the Company may provide backup services, the Customer is solely responsible for maintaining independent and up-to-date copies of the information in its possession.<\/p>

                  The Company is not responsible for loss of data, damage to backups, failure to recover data, or inability to recover data for any reason.<\/p>

                  29.E. Absolute Limitation of Liability <\/strong><\/p>

                  Without derogating from any other provision in these Terms and Conditions, the Company’s liability for any claim, demand or lawsuit related to the Services, of any kind and for any legal reason, will in no case exceed the amount of payments actually paid by the Customer to the Company during the three (3) months preceding the event that is the subject of the claim.<\/p>

                  The Company will not be liable for any indirect, special, consequential damages, loss of revenue, loss of profits, loss of information, damage to reputation or third-party claims.<\/p>

                  30. Editing Terms of Use Shop Center Internet Solutions Ltd. (Host Center) reserves the right to add, edit and delete sections of this agreement at any time, without prior notice to the customer and at its sole discretion.<\/p>
